1. Agreement and scope
These Terms of Service (“Terms”) form an agreement between you and Kinship Duna, a West Virginia organization (Org ID 628407), concerning your use of kiduna.ai, its public content, and its early-access request form (the “Site”). By using the Site, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Site. These Terms do not yet govern future Kiduna applications, member accounts, Realms, transactions, or other services that may be offered under separate terms.
2. Eligibility
You must be at least 13 years old to use the Site. If you are under the age of legal majority where you live, you may use it only with permission from a parent or legal guardian who agrees to these Terms. You may not use the Site if applicable law prohibits you from doing so.
3. Early access
Submitting an early-access request asks Kiduna to consider you for future participation. It does not create an account, membership, partnership, employment relationship, ownership interest, or entitlement to access. We may accept, decline, prioritize, defer, or discontinue requests and early-access programs at our discretion, subject to applicable law.
Information about planned features, timelines, governance, economics, or future availability is forward-looking and may change as the work develops.
4. Your submissions
You retain any rights you already hold in material you submit. You give us a non-exclusive, worldwide, royalty-free license to store, review, reproduce, and use your submission as reasonably necessary to evaluate your request, communicate with you, operate and protect the Site, and improve Kiduna.
You represent that you have the right to submit the material and that doing so does not violate another person’s rights or the law. Do not send trade secrets, regulated data, or information you are not authorized to share. Feedback and suggestions may be used to develop or improve Kiduna without an obligation to compensate you.
5. Acceptable use
You may not:
- Use the Site for unlawful, fraudulent, deceptive, threatening, harassing, or abusive activity.
- Submit malicious code, interfere with the Site, evade security controls, or attempt unauthorized access.
- Impersonate another person or misrepresent your identity, authority, or affiliation.
- Use automated methods to overload, scrape, or extract from the Site in a way that disrupts service or violates law.
- Infringe intellectual-property, privacy, publicity, confidentiality, or other rights.
6. Ownership, licenses, and open source
The Site and its content, design, text, graphics, sigils, software, and other materials are owned by or licensed to Kinship Duna, Kiduna Club, or their respective contributors and are protected by applicable law.
Some Kiduna software and materials are released under open-source or other public licenses. Those items are governed by the license distributed with them. Open-source availability does not grant a license to use the Kiduna name, trademarks, logos, or brand presentation. Kiduna™ marks are licensed separately, and public marketing that mentions Kiduna must follow the applicable Kiduna Brand Guidelines.
7. Third-party sites and services
The Site may link to or rely on third-party sites and services. We do not control their content, availability, security, or practices. Your use of a third-party service is governed by its own terms and policies.
8. Disclaimers
The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage.
We do not guarantee that the Site will be uninterrupted, error-free, secure, or accurate, or that any planned feature, Realm, opportunity, access program, economic model, or other future work will launch or remain as described. Site content is general information and is not legal, financial, medical, investment, or other professional advice.
9. Limitation of liability
To the fullest extent permitted by law, Kinship Duna, Kiduna Club, and their contributors, officers, members, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunities, arising from or related to the Site.
To the fullest extent permitted by law, their total liability for all claims relating to the Site will not exceed the greater of US $100 or the amount you paid to use the Site during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
10. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Kinship Duna and Kiduna Club from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, your submissions, or your material violation of these Terms or another person’s rights.
11. Governing law
These Terms are governed by the laws of the State of West Virginia, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in a state or federal court with jurisdiction in West Virginia, and each party consents to that jurisdiction and venue. Nothing in these Terms limits rights that cannot lawfully be waived.
12. Changes and termination
We may change the Site or these Terms as Kiduna evolves. Updated Terms will be posted here with a new effective date. Your continued use after the updated Terms take effect means you accept them. We may suspend or terminate access to the Site when reasonably necessary to protect the Site, enforce these Terms, comply with law, or discontinue the service.
